IWhat it does
The first hour of diligence on a private company is the same every time: search EDGAR for Form Ds, look up the legal entity, check whether it sells to the government, see how old the domain is, glance at the GitHub. Diligence Desk does that hour in under a minute, from inside the assistant you already use.
It reads public registers only: SEC EDGAR (filings, Form D notices, XBRL financials for registrants), the GLEIF legal entity register, USAspending.gov federal awards, the domain registries (RDAP) and GitHub. It never guesses. A source with no record is reported as a finding, and every fact carries its source and date.
The output is a memo in a fixed shape: snapshot, corporate facts, people, filings and financials, technical footprint, red flags, and open questions for the founders. It follows a diligence checklist and a red-flag list written by investors, and it says plainly what the public record cannot show, which for most US private companies is a lot.
It is free for anyone in venture. Black Matter built it, and runs it on Plugferry, our platform for turning custom GPTs into plugins.
IIFeatures
aForm D funding history
Finds every Regulation D notice filed under the company's name, separates them from SPVs and look-alike names, and flags when a company that says it raised has filed nothing.
bEntity and federal footprint
Confirms the legal entity, jurisdiction, registration number and status from GLEIF, and lists federal contracts and grants from USAspending with agency, amount and dates.
cRed flags and founder questions
Applies an investor's red-flag list (late filings, lapsed registrations, name mismatches, a domain older than the company) and turns each gap into a one-line question for the founders.
dCited, never invented
Every fact cites its register and record date. No revenue, valuation or headcount unless a filing states it. Private individuals are out of scope by design.
