Diligence Desk terms of use

Last updated 24 October 2026

These terms apply to your use of Diligence Desk, a free research plugin operated by Black Matter VC, Inc., a Delaware corporation ("Black Matter", "we"). By using it, you agree to them.

IThe service

Diligence Desk retrieves records from public sources (SEC EDGAR, GLEIF, USAspending.gov, domain registries and GitHub) and helps your AI assistant summarise them. It is provided free of charge. We do not control those sources or the data they publish.

IIInformation, not advice

Diligence Desk summarises public records. Its output can be incomplete, out of date or wrong: the records themselves may be, a source may be unavailable, or the assistant may misread them. Nothing it produces is legal, financial, investment or tax advice, or a recommendation to invest or not. Check any fact you rely on against the original record it cites, and take professional advice before making decisions.

IIIAcceptable use

  • Use Diligence Desk to research companies and other legal entities. Do not use it to research private individuals, to compile personal information about anyone, or to harass anyone.
  • Do not try to get around rate limits or access controls, or use the service to reach anything other than the sources it is built for.
  • Respect the terms of the public sources it queries, including the SEC's fair-access policy.
  • Do not use it for anything unlawful, or to interfere with the service.

IVAvailability

We work to keep Diligence Desk available but provide it as is and as available, without warranties of any kind, including fitness for a particular purpose and accuracy. We may change, suspend or stop it at any time.

VLiability

To the extent the law allows, Black Matter is not liable for any indirect, incidental or consequential loss, or for any decision made on the basis of Diligence Desk's output. Because the service is free, our total liability for any claim relating to it is limited to one hundred US dollars.

VIGoverning law

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules.

VIIChanges

We may update these terms and will post the new version here with a new date. Using Diligence Desk after a change means you accept it.
